These Terms of Service ("Terms") govern your access to and use of the MeteorInsight website, software-as-a-service (SaaS) platform, and related tools ("Services") provided by MeteorInsight, Inc., a Delaware corporation ("MeteorInsight," "we," "us," or "our").

By creating an account, connecting a data source, or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.

1. Overview of the Services

MeteorInsight is an AI-powered data analyst companion platform that enables users to:

• Connect to internal and third-party data systems
• Retrieve and process data via MCP-compliant integrations
• Generate automated insights, summaries, visualizations, and analysis
• Conduct natural language queries against structured and unstructured data
• Produce recommendations, reports, and analytics outputs using AI models

MeteorInsight is not a professional advisory service. All insights should be independently validated by the user.

2. Eligibility

You may use the Services only if you:

• Have legal authority to enter into binding contracts
• Use the Services in compliance with these Terms and applicable laws

By using the Services on behalf of a business, you represent that you have authority to bind that organization.

3. Account Registration & Security

To access the Services, you must create an account. You agree to:

• Provide accurate and complete information
• Keep login credentials confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activity under your account

MeteorInsight is not responsible for losses resulting from compromised credentials.

4. User Data and Data Connections

4.1 Ownership

You retain all ownership rights to:

• Data uploaded or connected to the platform
• Data retrieved from third-party integrations
• Generated reports or outputs based on your data

4.2 License to MeteorInsight

You grant us a limited, non-exclusive license to:

• Access, process, analyze, and store your data
• Generate AI insights and analytics
• Provide support, security, and operational functionality

We do not claim ownership of your data, and we do not use your data to train public models.

4.3 Third-Party Integrations (MCP and Others)

By enabling integrations, you authorize MeteorInsight to:

• Connect to external systems
• Retrieve and process data through MCP or other authorized APIs
• Store metadata necessary for delivering the service

MeteorInsight is not responsible for:

• Third-party API outages
• Incorrect or incomplete data from those systems
• Your compliance with third-party terms

You are solely responsible for ensuring you have the rights to access and use connected data.

5. Acceptable Use of the Services

You agree not to:

• Use the Services in violation of any law or regulation
• Use the AI outputs as a substitute for professional advice (legal, financial, medical, etc.)
• Attempt to bypass security or rate limits
• Introduce malware or harmful scripts
• Reverse engineer or replicate the platform
• Train or develop competing AI services using MeteorInsight
• Use the Services for scraping, bulk extraction, or unauthorized data harvesting

Violations may result in suspension or termination.

6. AI-Generated Output

MeteorInsight generates insights using AI models. You acknowledge that:

• AI output may be incomplete, inaccurate, or contain errors
• You are solely responsible for reviewing and validating output before acting on it
• MeteorInsight disclaims responsibility for decisions made based on AI analysis or recommendations

The platform is intended to assist analysts, not replace expert judgment.

7. Subscription, Fees, and Billing

7.1 Subscription Plans

MeteorInsight may offer:

• Free tiers
• Monthly or annual subscriptions
• Usage-based or seat-based pricing
• Enterprise or custom agreements

7.2 Auto-Renewal & Cancellation

Paid subscriptions automatically renew unless cancelled before the renewal date. Fees are non-refundable unless required by law or expressly stated.

7.3 Taxes

You are responsible for applicable taxes unless otherwise required.

8. Service Availability and Modifications

We aim to maintain reliable uptime but do not guarantee:

• Uninterrupted service
• Error-free operation
• Full accuracy of analytics

We may update, modify, or discontinue features at any time.

9. Confidentiality

9.1 Your Confidential Information

User Data and private outputs are treated as confidential and are not shared without consent except for:

• Service operation
• Legal compliance
• Security investigations

9.2 Our Confidential Information

MeteorInsight's platform, algorithms, architecture, and AI systems are proprietary and confidential.

Each party agrees to protect the other's confidential information using reasonable safeguards.

10. Intellectual Property

MeteorInsight owns:

• The platform software and architecture
• AI models, algorithms, and features
• Documentation, UI/UX assets, and branding
• All improvements to the Services

No rights are granted except those explicitly stated in these Terms.

11. Termination

We may suspend or terminate access if you:

• Violate these Terms
• Fail to pay subscription fees
• Misuse the platform or integrations
• Pose a security or legal risk

Upon termination:

• Your license to use the Services ends
• We may delete data after a reasonable retention period
• No refunds are provided unless legally required

12. Disclaimers

The Services are provided "as is" without warranties of any kind. We specifically disclaim:

• Fitness for a particular purpose
• Accuracy or reliability of AI-generated output
• Third-party integration availability
• Data completeness or correctness

You use the Services at your own risk.

13. Limitation of Liability

To the fullest extent permitted by law, MeteorInsight is not liable for:

• Loss of profits, revenue, or business opportunities
• Loss or corruption of data
• Indirect, incidental, or consequential damages
• Errors or decisions made based on AI-generated output

Our total liability is limited to the amount you paid in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless MeteorInsight from claims arising from:

• Your use of the Services
• Your User Data
• Violations of these Terms
• Misuse of third-party data connectors
• Breach of laws or regulations

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware. All disputes will be resolved through binding arbitration in Delaware unless prohibited by law. No class actions are permitted.

16. Changes to These Terms

We may update these Terms at any time. Continued use of the Services after updates constitutes acceptance.
